Terms of Service

Welcome to PassExams ("passexams.app", the "Platform","we," "us," "our"), operated by Algomittens LLC. By accessing or using the Platform, you ("you," "your," "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

1. Description of Service

PassExams is an online exam preparation and professional development platform that provides practice questions, mock examinations, study plans, analytics, AI-powered tutoring, AI-generated knowledge maps and micro-lessons, teach-back evaluation, cognitive profiling, mock interview coaching, and study material processing tools for professional licensing and certification examinations, including but not limited to the Fundamentals of Engineering (FE) exams, NCLEX-RN, and USMLE Step 1. The Platform includes multiple integrated services, including PassExams (question banks and mock exams), PassStudy (user-uploaded material processing), PassInterviews (mock interview coaching), PassMastery (AI knowledge maps, micro-lessons, and cognitive profiling), QuestionLab (AI question generation), and PassHire (hiring assessments).

2. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Platform. By creating an account, you represent and warrant that you meet this requirement and that all registration information you provide is truthful and accurate. Providing false, misleading, or fraudulent information during registration, including misrepresenting your identity, organizational affiliation, or purpose for using the Platform, constitutes a material breach of these Terms and grounds for immediate account termination without refund.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each account is for a single individual only. You may not share your login credentials with any other person. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use and Prohibited Conduct

You agree to use the Platform only for lawful, personal study purposes consistent with these Terms. You shall not:

(a) use the Platform, its content, or any information obtained from it to cheat on, gain an unfair advantage on, or otherwise violate the rules or policies of any examination or examining body; (b) upload, share, or distribute copyrighted examination materials, proprietary test questions, or official content belonging to any examining body without authorization; (c) upload content containing confidential information, trade secrets, or personal data of third parties without their consent; (d) share your account credentials, allow others to access your account, or create multiple accounts for the same individual; (e) use automated tools, bots, scrapers, crawlers, or any other automated means to access, extract data from, or interact with the Platform; (f) reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform; (g) attempt to circumvent, disable, or interfere with any security, access-control, or rate-limiting features of the Platform, including prompt injection or manipulation of AI features; (h) resell, redistribute, sublicense, or commercially exploit any content obtained from the Platform; (i) use the Platform to harass, abuse, threaten, or impersonate any person; (j) upload or transmit viruses, malware, or any other malicious code; (k) engage in any conduct that could damage, disable, overburden, or impair the Platform; (l) publish or distribute false, defamatory, or materially misleading statements about the Platform, its content, or its services (nothing in this section restricts your right to post honest reviews or opinions about the Platform, to communicate with government agencies, or to exercise any rights protected by the Consumer Review Fairness Act (15 U.S.C. § 45b) or similar applicable law); (m) register for or use the Platform on behalf of, or for the benefit of, a direct or indirect competitor of PassExams, including for the purposes of competitive intelligence, benchmarking, feature comparison, content harvesting, or building or improving a competing product or service, without our prior written consent; or (n) misrepresent your identity, organizational affiliation, role, or purpose for using the Platform during registration or at any time thereafter, including using a false name, disposable email address intended to conceal your identity, or an affiliation with an organization that competes with or seeks to replicate the Platform's services.

Violation of this section may result in immediate suspension or termination of your account without notice or refund, and we reserve the right to report violations to the appropriate authorities.

5. Subscription Tiers and Payment

5.1 Tiers and Add-Ons. The Platform offers multiple subscription tiers (Free and Pro) with varying levels of access to features and question banks. In addition, standalone add-on subscriptions such as PassStudy, PassInterviews Pro, and PassMastery may be purchased separately at their own recurring rates. Feature availability and pricing for each tier and add-on are described on the Platform and may change at our discretion with reasonable notice. Add-on subscriptions are subject to the same auto-renewal, cancellation, and refund terms described in Sections 5.3 and 5.4.

5.2 Payment. Paid subscriptions are processed through a third-party payment processor. By subscribing to a paid tier, you authorize recurring charges to your designated payment method at the applicable subscription rate. We do not receive or store your full credit card number.

5.3 Auto-Renewal and Consent. BY SUBSCRIBING TO A PAID TIER, YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. At the time of purchase, you will receive a confirmation of your subscription terms, including the renewal rate, billing frequency, and instructions for cancellation. Where required by applicable law, we will provide advance notice of upcoming renewals at least 15 days before annual renewals and at least 3 days before monthly renewals. You may cancel your subscription at any time through your account settings on the Platform, the same interface through which you subscribed. Cancellation takes effect at the end of the current billing period. Except where required by applicable law, no partial refunds will be issued for unused time within a billing cycle.

5.4 Refund Policy. We offer refunds at our sole discretion, except where a refund is required by applicable law. If you believe you are entitled to a refund, contact us at support@passexams.app within 7 days of the charge. Refunds will not be issued for any period during which you accessed or used paid features.

5.5 Price Changes. We reserve the right to modify pricing at any time. Existing subscribers will receive at least 30 days' notice of any price increase before it takes effect on their next renewal.

5.6 Usage Limits and Feature Availability. Daily usage quotas, rate limits, AI session allowances, credit costs, and other feature parameters included with each subscription tier are subject to adjustment at any time without prior notice. We may modify, add, or remove features or adjust usage limits to ensure platform stability, fair use, or to reflect changes in underlying service costs. Continued use of the Platform after any such adjustment constitutes acceptance of the updated limits. No refunds, credits, or rebates will be issued as a result of changes to usage limits or feature availability.

5.7 Chargebacks and Payment Disputes. If you dispute a charge with your bank or credit card company instead of contacting us first, we reserve the right to suspend your account for the duration of the dispute. If the dispute is resolved in our favor, you agree to reimburse us for any fees imposed on us by the payment processor as a result of the dispute (typically $15 per dispute), to the extent permitted by applicable law. Repeated or fraudulent chargebacks may result in permanent account termination. We encourage you to contact support@passexams.app before initiating a payment dispute so we can attempt to resolve the issue directly.

6. Credits and QuestionLab

6.1 Purchased Credits. Certain features, such as QuestionLab, may require prepaid credits purchased through the Platform. Purchased credits are non-refundable (except where required by applicable law), non-transferable, and have no cash value. Purchased credits expire 6 months after the date of purchase.

6.2 Promotional Credits. We may issue promotional or referral credits from time to time. Promotional credits are provided at our discretion, have no cash value, are non-transferable, and may expire 12 months after issuance. We will provide reasonable notice before expiring promotional credits.

6.3 QuestionLab Delivery. QuestionLab is a service through which custom question sets are generated and delivered to your account. Delivery timelines are estimates only and are not guaranteed. We will use commercially reasonable efforts to fulfill requests within stated timeframes.

7. AI Tutor and AI-Generated Content

7.1 Nature of AI Content. The Platform uses artificial intelligence and large language models provided by third-party AI service providers to generate practice questions, hints, explanations, study plans, tutoring responses, knowledge maps, micro-lessons, teach-back evaluations, cognitive profile analyses, interview coaching feedback, and other educational content. AI-generated content is provided for educational and supplementary purposes only. While we employ multi-model validation pipelines to ensure quality, AI-generated content may contain errors, inaccuracies, or omissions.

7.2 No Professional Advice. AI-generated responses do not constitute professional, medical, engineering, legal, or licensing advice. You should independently verify all information provided by the AI tutor or any other AI-powered feature of the Platform.

7.3 Open Questions and User Feedback. Certain questions on the Platform may be designated as "Open Questions", meaning questions that are still under review and do not yet have a confirmed answer. You may voluntarily submit your answer selection for these questions. By participating, you acknowledge that your selections may be used, in aggregate and anonymously, to help improve content accuracy. We may also use general user feedback, error reports, and usage patterns to improve the quality and accuracy of Platform content, as is standard industry practice.

8. PassMastery and AI-Generated Learning Content

8.1 Knowledge Maps and Lessons. PassMastery generates personalized knowledge maps and micro-lessons using AI based on topics you select. These maps, lessons, and associated content are AI-generated and are provided for educational purposes only. While we strive for accuracy, the generated content may contain errors, omissions, or simplifications and should not be treated as authoritative or comprehensive coverage of any subject.

8.2 Teach-Back Evaluation. PassMastery may prompt you to explain concepts in your own words ("teach-back"). Your written explanations are sent to AI service providers for evaluation and scoring. By using this feature, you consent to this processing.

8.3 Cognitive Profile. PassMastery may generate a cognitive profile based on your learning patterns, teach-back performance, and usage data. This profile is AI-generated, is used solely to personalize your learning experience on the Platform, and is not shared with third parties for any purpose other than AI processing as described in Section 7.1. Cognitive profile data does not constitute a psychological assessment, diagnosis, or evaluation of your abilities.

8.4 Ownership of Generated Content. AI-generated knowledge maps, lessons, and evaluations are provided to you under the same limited license described in Section 11.1. You may use this content for your personal study purposes only. We retain all intellectual property rights in the underlying algorithms, models, prompts, and generation pipelines used to create this content.

9. PassStudy and User-Uploaded Content

9.1 Your Content. You retain ownership of all materials you upload to the Platform ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to process, store, and use your User Content solely for the purpose of providing the PassStudy and related services to you. This license terminates when you delete the content or your account.

9.2 Content Restrictions. You represent and warrant that you have the legal right to upload all User Content and that your User Content does not: (a) infringe any third party's intellectual property rights, including copyrights held by publishers, examining bodies, or content creators; (b) contain confidential information or personal data of third parties without proper authorization; (c) violate any applicable law or regulation; or (d) contain viruses, malware, or other harmful code. We reserve the right to remove User Content that violates these Terms without notice.

9.3 Third-Party Processing. User Content may be processed by third-party AI service providers for the purpose of generating questions and summaries. By using PassStudy, you consent to this processing. We do not sell or share your User Content for advertising purposes.

10. EXAM RESULTS DISCLAIMER

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ IT CAREFULLY.

10.1 No Guarantee of Exam Performance. PassExams is a supplementary study tool. We make no representations, warranties, or guarantees that use of the Platform will result in passing any examination, including but not limited to the FE, PE, NCLEX-RN, USMLE, or any other professional licensing or certification examination.

10.2 Not a Substitute. The Platform is not a substitute for formal education, instructor-led courses, official study materials published by examining bodies, or professional guidance. Exam outcomes depend on numerous factors beyond the scope of this Platform, including but not limited to your prior knowledge, study habits, test-taking conditions, and the specific content of your examination.

10.3 No Affiliation. PassExams is not affiliated with, endorsed by, or sponsored by any examining body or licensing organization. All exam names and trademarks referenced on the Platform are the property of their respective owners and are used solely for identification purposes.

10.4 Content Format. The Platform's practice content consists primarily of multiple-choice questions and AI-generated study aids. While some exams may include additional practice components (such as case simulations or flashcards), the Platform does not replicate the exact format, interface, or full scope of any official examination. Practice content is designed to reinforce subject-matter knowledge and is not a simulation of the actual testing experience.

10.5 Waiver. By using the Platform, you expressly acknowledge and agree that we shall not be liable for any exam failure, delayed licensure, lost income, career impact, or any other damages arising from or related to your performance on any examination, regardless of whether you used the Platform to prepare.

10.6 User Misconduct and Academic Integrity. You are solely responsible for ensuring that your use of the Platform complies with the rules, policies, and honor codes of your educational institution, employer, or examining body. PassExams is not responsible for and shall not be liable for any consequences arising from your misuse of the Platform, including but not limited to cheating, academic dishonesty, fraud, unauthorized sharing of exam content, violation of examination rules, or any other misconduct. If your use of the Platform results in disciplinary action, disqualification, revocation of a license, or legal proceedings, you bear sole responsibility for such consequences.

11. Intellectual Property and License

11.1 Limited License to You. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content solely for your personal, non-commercial study purposes. All rights not expressly granted herein are reserved by PassExams.

11.2 Our Content. All questions, explanations, study plans, analytics, software, design, and other materials provided through the Platform (excluding User Content) are the intellectual property of PassExams and are protected by copyright and other intellectual property laws.

11.3 Restrictions. Except as expressly permitted in Section 11.1, you may not: (a) copy, screenshot, or systematically download questions or explanations from the Platform; (b) reproduce, distribute, modify, or create derivative works from our content; (c) use any content from the Platform for commercial purposes; (d) remove any proprietary notices from Platform content; or (e) post, share, or redistribute any questions, explanations, hints, study plans, or other Platform content on any external website, social media platform, forum, messaging application, Discord server, file-sharing service, or any other medium, whether publicly or privately. We may revoke the license granted in Section 11.1 at any time for breach of these Terms.

12. DMCA and Copyright Infringement

We respect intellectual property rights and expect our users to do the same. If you believe that content on the Platform infringes your copyright, please send a written notice to support@passexams.app containing: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the material that is claimed to be infringing and its location on the Platform; (c) your contact information (name, address, email, phone number); (d) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf; and (f) your physical or electronic signature.

We will respond to valid DMCA notices promptly and may remove or disable access to the allegedly infringing material. Users who repeatedly infringe copyrights may have their accounts terminated.

Counter-Notification. If you believe your content was removed in error, you may submit a written counter-notification to support@passexams.app containing: (a) identification of the material removed and its prior location; (b) a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification; (c) your name, address, and phone number; (d) a statement consenting to jurisdiction of the federal court in your district (or South Carolina, if outside the U.S.); and (e) your physical or electronic signature. Upon receiving a valid counter-notification, we will forward it to the original complainant and may restore the material within 10–14 business days unless the complainant files a court action.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall PassExams, its owner, affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Platform.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed one hundred dollars ($100.00).

The foregoing limitations shall not apply to liability arising from: (i) our gross negligence or willful misconduct; (ii) death or personal injury caused by our negligence; or (iii) fraud or fraudulent misrepresentation.

14. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

We do not warrant the accuracy, completeness, or reliability of any content on the Platform, including AI-generated questions, explanations, hints, study plans, tutoring responses, knowledge maps, lessons, cognitive profiles, or interview coaching feedback. You use the Platform and rely on its content at your own risk.

15. Indemnification

You agree to indemnify, defend, and hold harmless PassExams, its owner, and any affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms, including the Acceptable Use provisions; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you upload to the Platform.

16. Referral Program

We may offer a referral program from time to time. Referral credits are promotional credits subject to Section 6.2 and the specific terms of the program as posted on the Platform. We reserve the right to modify, suspend, or terminate the referral program at any time. Abuse of the referral program, including creating fake accounts or self-referrals, will result in forfeiture of credits and potential account termination.

17. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including for violation of the Acceptable Use provisions in Section 4. Upon termination, your right to use the Platform ceases immediately and the license granted in Section 11.1 is automatically revoked. Sections 10, 11.2, 11.3, 12, 13, 14, 15, 18, and 19 survive termination.

18. Governing Law and Dispute Resolution

18.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.

18.2 Informal Resolution. Before initiating any formal dispute proceeding, you agree to first contact us at support@passexams.app with a written description of your claim, including your name, account email, and the relief sought. Both parties will attempt to resolve the dispute through good-faith negotiation for at least 30 days before proceeding to arbitration.

18.3 Binding Arbitration. If a dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org). The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitration shall take place in South Carolina, or, at your election, may be conducted by telephone, video conference, or based on written submissions if AAA rules permit.

18.4 Arbitration Fees. If you initiate arbitration, we will reimburse your filing fee up to $200 unless the arbitrator determines your claim is frivolous. Each party shall bear its own attorneys' fees unless the arbitrator awards fees to the prevailing party as permitted by law.

18.5 Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@passexams.app within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in South Carolina, and you consent to personal jurisdiction in those courts.

18.6 Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

18.7 Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

18.8 Severability of Arbitration Clause. If any part of this Section 18 is found to be unenforceable, the remainder of this section shall continue to apply. If the class action waiver in Section 18.6 is found to be unenforceable with respect to a particular claim, that claim (and only that claim) shall be severed from arbitration and may be brought in court, while the remaining claims shall continue to be subject to arbitration.

19. General Provisions

19.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and PassExams regarding the Platform and supersede all prior agreements and understandings.

19.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.

19.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

19.5 Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, third-party service outages, AI service provider outages or discontinuations, changes to third-party AI models or APIs, or payment processor disruptions.

19.6 Electronic Communications Consent. By creating an account, you consent to receive electronic communications from us, including emails regarding your account, subscription confirmations, renewal notices, and material changes to these Terms. These electronic communications satisfy any legal requirement that such communications be in writing.

19.7 Third-Party Links and Services. The Platform may contain links to third-party websites or services that are not owned or controlled by PassExams. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

19.8 Modifications. We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email at least 15 days before taking effect. Your continued use of the Platform after modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription.
